1. Acceptance of Terms

Welcome to Pekcan Scales (“Pekcan Scales,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern access to and use of our website, services, software, automations, artificial-intelligence tools and related offerings (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

If you do not agree, you must not use the Services.

2. Eligibility and business use

The Services are intended primarily for businesses, organizations, entrepreneurs and other commercial users.

By using the Services on behalf of a business or organization, you represent that you have authority to bind that business or organization to applicable agreements.

3. Services

Pekcan Scales may provide services including:

Website and landing-page design
Digital marketing and paid advertising campaign management
CRM implementation and automation
Lead-management systems
Follow-up automation
Appointment and booking systems
Chatbots and voice agents
Workflow automation
Custom software development
Artificial-intelligence consulting
SaaS and software solutions
Related digital and technology services

The precise scope, deliverables, timing and pricing for paid work may be described in a proposal, order form, statement of work, invoice or other written agreement.

We may modify or discontinue generally available website features or service offerings, subject to any binding written client agreement.

4. Account registration

Certain Services may require an account.

You agree to:

Provide accurate information
Keep account credentials confidential
Notify us of suspected unauthorized access
Accept responsibility for activity occurring through your account, except where caused by Pekcan Scales's breach of an applicable obligation

5. Fees, billing and payments

5.1 Fees

Services may be offered through:

One-time project fees
Monthly subscriptions
Recurring service arrangements
Usage-based charges
Custom pricing

Applicable fees will be stated in the relevant proposal, invoice, order form or service agreement.

5.2 Billing

Recurring fees are charged according to the agreed billing schedule.

You authorize Pekcan Scales and its payment processors to charge the selected payment method for amounts properly due.

5.3 Trials

Where a free trial is offered, additional trial conditions may apply.

We may modify or discontinue a trial, subject to applicable law and any express written commitment.

5.4 Refunds

Unless required by applicable law or expressly agreed in writing, payments are non-refundable.

This may include:

Subscription fees
Project fees
Setup fees
Custom-development fees
Fees for completed work
Unused portions of a billing period

Nothing in this section limits a right that cannot legally be excluded.

6. Acceptable use

You must not use the Services to:

Violate applicable law
Infringe intellectual-property or privacy rights
Transmit malware or harmful code
Engage in fraud, deception or unlawful activity
Produce or distribute unlawful, abusive or defamatory content
Attempt unauthorized access
Interfere with the security or operation of the Services
Reverse engineer software except where applicable law expressly permits it
Misrepresent affiliation with Pekcan Scales
Use the Services in a way that could materially harm Pekcan Scales, its systems, clients or other users

We may investigate suspected violations and take reasonable protective action.

7. AI services and outputs

7.1 AI-generated material

Certain Services may generate content, recommendations, summaries, responses or analyses using artificial intelligence.

AI-generated material may contain errors, omissions, bias, inaccuracies or outdated information.

7.2 User responsibility

You are responsible for reviewing and verifying AI-generated material before relying on, publishing or distributing it.

7.3 No professional advice

Unless expressly agreed in a separate written engagement with a properly qualified professional, AI-generated material does not constitute:

Legal advice
Financial advice
Medical advice
Tax advice
Regulatory advice
Other regulated professional advice

8. Intellectual property

8.1 Pekcan Scales materials

Pekcan Scales retains its rights in its pre-existing and underlying:

Software
Systems
Frameworks
Templates
Workflows
Methodologies
Documentation
Branding
Reusable code
General know-how

Nothing in these Terms transfers ownership of those materials unless expressly agreed in writing.

8.2 Client content

Clients retain ownership of the content, information and materials they submit.

The client grants Pekcan Scales a limited license to use those materials as reasonably necessary to provide the Services.

The client represents that it has the rights required to provide those materials.

8.3 Custom deliverables

Ownership and licensing of custom deliverables will be governed by the applicable proposal, statement of work or service agreement.

Unless stated otherwise in that written agreement, ownership of specifically commissioned final deliverables transfers after full payment, while Pekcan Scales retains ownership of its pre-existing and reusable materials.

9. Third-party services

The Services may depend on third-party providers, including:

Hosting providers
CRM platforms
Payment processors
Scheduling providers
Automation platforms
Communications providers
Artificial-intelligence providers

Third-party services are governed by their own terms and policies.

Pekcan Scales is not responsible for an independent third party's systems, availability, policies or actions, except to the extent responsibility cannot legally be excluded.

10. Suspension and termination

10.1 Suspension

We may suspend access where reasonably necessary because:

These Terms have been materially violated
Payment is overdue
Use creates a security, legal or operational risk
Suspension is required to protect users, clients or systems
A relevant third-party service is suspended
Applicable law or a valid authority requires it

10.2 Termination by the user

A user may stop using generally available Services at any time.

Ending use does not remove outstanding payment or contractual obligations.

Cancellation terms for subscriptions or projects may be set out in the applicable written agreement.

10.3 Termination by Pekcan Scales

We may terminate access or a service relationship for material breach, fraud, illegal activity, abuse, non-payment or another ground established in an applicable written agreement.

11. Disclaimer of warranties

To the maximum extent permitted by applicable law, Services made available without a separate written warranty are provided “as is” and “as available.”

Pekcan Scales disclaims implied warranties to the extent they may legally be disclaimed, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not guarantee uninterrupted, error-free or completely secure operation.

Specific warranties, service levels or remedies may be established in a separate written agreement.

12. Limitation of liability

To the maximum extent permitted by applicable law, Pekcan Scales will not be liable for indirect, incidental, special or consequential damages, including loss of profits, revenue, business opportunities or data.

To the maximum extent permitted by law, Pekcan Scales's aggregate liability arising from a claim will not exceed the amount paid by the affected customer to Pekcan Scales during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Pekcan Scales, its owners, employees, contractors and affiliates from third-party claims, losses, liabilities and reasonable costs arising from:

Your unlawful use of the Services
Content or materials supplied by you
Your material breach of these Terms
Your infringement of third-party rights

This obligation does not apply to the extent a claim was caused by Pekcan Scales's own unlawful conduct.

14. Changes to Services and Terms

We may update these Terms periodically.

Updated Terms will be published with a revised effective or last-updated date.

Where required by law, we will provide additional notice.

Changes do not retroactively alter a signed agreement unless the parties agree in writing.

Continued use after an update takes effect may constitute acceptance where permitted by law.

15. Governing law and jurisdiction

These Terms are governed by the laws of the State of Qatar, without regard to conflict-of-law principles.

Subject to any mandatory law or agreed dispute-resolution provision, disputes relating to these Terms or the Services are subject to the courts of Qatar.

16. Severability

If a provision is found invalid, illegal or unenforceable, it will be modified to the minimum extent necessary where legally possible.

The remaining provisions will continue in effect.

17. Entire agreement and order of precedence

These Terms, together with any applicable proposal, order form, statement of work or written service agreement, constitute the agreement between the parties concerning the relevant Services.

They replace prior discussions or understandings concerning the same subject matter.

If these Terms conflict with a signed service agreement, proposal, order form or statement of work, the signed document will control for that specific engagement to the extent of the conflict.

18. No waiver

A delay or failure to enforce a provision does not waive the right to enforce it later.

A waiver is effective only when made in writing by an authorized representative.

19. Assignment

You may not transfer your rights or obligations under these Terms without Pekcan Scales's prior written consent, except where applicable law provides otherwise.

Pekcan Scales may assign these Terms as part of a merger, restructuring, sale of business or transfer of the relevant Services.

20. Force majeure

Neither party will be liable for delay or failure caused by events reasonably beyond its control, except that this provision does not excuse payment obligations for Services already provided.
